Diagnostic study:
During the diagnostic study, the organizational, administrative and financial situation of the company will be analyzed and evaluated with the aim of identifying and identifying its strengths and weaknesses and working to qualify it internally in a manner consistent with the requirements of its listing on the parallel stock market - Nomu. This includes governance, administrative and organizational aspects, financial, legal and regulatory aspects.
Financial Evaluation:
The financial evaluation will be carried out to arrive at the fair value of the company’s equity using a set of commonly accepted valuation methods according to their suitability to the company’s activity and financial position. To carry out the evaluation process, the financial statements of the company being evaluated for the past five years will be analyzed in addition to the estimated budget for the next five years.
Management of the Listing/Offering Process:
After obtaining the approval from the Capital Market Authority (CMA) and Tadawul for the listing/offering application of shares in the Parallel Market (Nomu), the listing/offering process will be managed, and the procedures for registering the shares will be completed to commence trading. Our role as a financial advisor will be fulfilled on the first day of the share’s trading in the market.
Completing the qualification requirements:
The implementation of the solutions and recommendations resulting from the diagnostic study will be followed up with the aim of qualifying the company internally according to the requirements of offering/listing in the financial market, such as governance requirements, administrative organization, financial aspects, and completing the legal and regulatory requirements related to the company or partners.
Preparation of offering/listing documents:
The offering/listing file will be prepared in accordance with the requirements of the Authority as stated in the Offering of Securities and Continuing Obligations Regulations as well as the Listing Rules issued by the Saudi Tadawul Group. This will include preparing the prospectus/registration document in line with the offering/listing strategy adopted by the client and completing all the required documents for the file and submitting it for approval by the Authority and Tadawul for the offering/listing.
